Paul Strelitz succeeds in a complex long running shareholder dispute in the Supreme Court, ultimately decided on the application of an interim protection mechanism known as a vendor purchaser constructive trust (‘VPCT’) and whether that was sufficient to displace the requirement for signed writing under section 53(1)(c) LPA 1925. The Supreme Court agreed with Paul’s client, that a VPCT could act in that way even if the buyer was also a trustee.
