We have extensive experience acting in complex director and shareholder disputes. Members of our team regularly advise on and appear in matters involving directors’ duties, misfeasance, section 994/unfair prejudice petitions, derivative actions, claims for just and equitable winding up, claims arising out of joint venture agreements, and disputes concerning company articles of association and shareholder agreements.
Our members are also experts on corporate governance and the application of the Companies Act 2006. We regularly provide advice and representation to companies, directors and shareholders on pre-emption rights, company restoration, capital reduction, registration requirements and the rectification of the register of companies.

Members provide advice about the drafting of partnership and joint venture agreements and conversion to LLPs and have considerable experience litigating disputes over such agreements.
