We have extensive experience acting in complex director and shareholder disputes. Members of our team regularly advise on and appear in matters involving directors’ duties, misfeasance, section 994/unfair prejudice petitions, derivative actions, claims for just and equitable winding up, claims arising out of joint venture agreements, and disputes concerning company articles of association and shareholder agreements.

Our members are also experts on corporate governance and the application of the Companies Act 2006. We regularly provide advice and representation to companies, directors and shareholders on pre-emption rights, company restoration, capital reduction, registration requirements and the rectification of the register of companies.

In addition, we provide a broad and highly-regarded offering in both contentious and non-contentious aspects of the law of partnerships, LLPs and joint ventures. Our expertise covers buyouts of business partners, the dissolution of partnerships and allegations of self-dealing or conflicts of interest against partners/joint venturers, misappropriation of business opportunities and the enforcement of restrictive covenants. Members provide advice about the drafting of partnership and joint venture agreements and conversion to LLPs and have considerable experience litigating disputes over such agreements.  They are regularly instructed in relation to well-known national and international partnerships and joint ventures, including firms offering professional, advisory and financial investment services.
